Version 2026-10-30. It takes effect on the day we publish it. This letter is from a limited company or limited liability partnership (LLP) that works through Recovru, to Dapper Trading Ltd (company number 08800299), of Oak House, Reeds Crescent, Watford WD24 4QP, trading as Recovru. A director of the company (for an LLP, a designated member) signs it to confirm who may act for the business on Recovru. We send it with the Operator Agreement, in the same email, and the agreement counts as signed only when this letter is signed too. What changed: this is the first version of the letter.

1. Who this letter is from, and to.

From: the limited company or LLP named in Part A of the Schedule (the "Business"), acting through the director or designated member named in Part C (the "Officer").

To: Dapper Trading Ltd, a company registered in England and Wales with company number 08800299, whose registered office is at Oak House, Reeds Crescent, Watford, England, WD24 4QP, trading as Recovru ("Recovru").

2. The authority we give.

2.1 The Business confirms that the person named in Part B of the Schedule (the "Authorised Person") is authorised by it, from the date of this letter, to: (a) make the Recovru Operator Agreement for the Business, and accept for it the Operator Terms and any later version of them that applies under their section 1; (b) run the Business's Recovru account, including its details, its verification evidence, the services it asks for, its quotes and the jobs it accepts; and (c) give and receive notices for the Business under the Operator Agreement and the Operator Terms.

2.2 Anything the Authorised Person does within this authority binds the Business as if the Business had done it itself (Companies Act 2006, section 43(1)(b), and, for an LLP, the same section as applied by the Limited Liability Partnerships (Application of Companies Act 2006) Regulations 2009).

3. What the Officer confirms.

The Officer confirms, for themselves and for the Business, that on the day they sign: (a) they are a director of the company or, for an LLP, a designated member of it, and their appointment is shown on the register at Companies House; (b) they may give this letter for the Business, and nothing in its articles of association, its LLP agreement or a decision of its board or members prevents it; (c) the details in the Schedule are true, complete and not misleading.

4. How long it lasts.

4.1 Recovru may rely on this letter until it receives written notice, from a director or designated member, that the authority has ended or changed. Send it to support@recovru.com or by post to Recovru's registered office. It takes effect when Recovru receives it.

4.2 Ending the authority does not undo anything already done under it, and it does not end the Operator Agreement: section 14 of the Operator Terms says how that ends.

5. The checks Recovru makes.

Recovru checks the Companies House register for the Business, its status and its officers, and whether the Officer is a current director or designated member. If the name does not match, or the Business is not active, Recovru may ask for more evidence, and may restrict the account as section 15 of the Operator Terms allows while it checks. A person decides: no check refuses the Business by itself.

6. Signing electronically.

6.1 This letter is signed electronically, and an electronic signature binds the Business as a handwritten one would. It is admissible in evidence of the letter's authenticity and integrity (Electronic Communications Act 2000, section 7), and it can execute a document where the person signing intends to authenticate it (Law Commission, Electronic execution of documents, Law Com No 386, 2019). This letter is not a deed and does not need a witness.

6.2 When the Officer signs, the signing service records the signature, the details entered in the Schedule, the date and time, a one-way hash of the internet address used, the type of device and browser, and a SHA-256 fingerprint of the exact letter. Those records form a signing certificate, attached to the signed letter.

6.3 Nobody signs this letter for Recovru: it is a letter from the Business to Recovru, and it takes effect when the Officer signs it.

7. Personal information and the law.

7.1 Recovru uses the personal information in this letter to check and record who may act for the Business, as the Operator Privacy Notice explains, and keeps the signed letter and its certificate for 6 years after the Business's account ends (Limitation Act 1980, section 5).

7.2 This letter is governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.

Signature.

Signed for and on behalf of the Business named in Part A by the Officer named in Part C, a director of the company or a designated member of the LLP. The signature, name, capacity, date and time are shown on the signing certificate.
